What is a virtual data room?

A virtual data room (VDR) is a secure online workspace where a company shares confidential documents with outside parties during a transaction or review: buyers in an acquisition, investors in a fundraise, auditors, regulators or opposing counsel. The owner decides who sees each folder, whether a file can be downloaded or printed, and every view is logged.

What separates a data room from an ordinary cloud drive is control after the file leaves your hands. Watermarks stamp each page with the viewer's name, document rights control can revoke access to a file that was already opened, and a Q&A module keeps questions and answers in one auditable thread instead of scattered email. When the deal closes, the full record of who saw what, and when, is still there.

How to choose a data room in five steps

Most buyers shortlist on brand and price, then discover a missing requirement halfway through a deal. This order avoids that.

    Name the job the room has to do

    A sell-side auction, a fundraise, a licensing deal and an audit stress different features. Write down the deal type, the number of outside parties and the expected term first.

    Set your non-negotiables

    Typical deal-breakers are ISO 27001 by name, single sign-on, redaction, a structured Q&A module or data hosted in a specific region. Strike out any provider that misses one.

    Compare scores on the criteria you care about

    Use the six criterion scores in our reviews rather than the headline number alone. A room that wins on pricing clarity may suit a raise better than one that wins on workflow.

    Run a real trial with your own files

    Upload a folder set, invite an outside reviewer, ask a question through Q&A and export the audit log. Half an hour in your own trial tells you more than any demo.

Data room security basics

Security in a data room has two layers, and buyers often check only one. The first is paperwork: an independent SOC 2 report or an ISO 27001 certificate shows that an auditor has reviewed how the vendor runs its infrastructure and its own staff access. The second is what you can switch on inside the room for each document and each guest, and that layer decides what happens if a bidder forwards a file or leaves the process early.

Every provider on our list holds a SOC 2 report, so the attestation question is usually which one your counterparty names. US buyers tend to accept SOC 2; European and Asian corporates and many banks ask for ISO 27001 by name, and 12 of the 18 rooms we review hold it. Inside the room, check four controls in this order: two-factor login for every guest, dynamic watermarks that print the viewer's name on each page, document rights control that can block printing and revoke a file after download, and an audit trail you can export at closing.

Audit trails and watermarks are universal (18 of 18). Redaction (7) and single sign-on (7) are the scarce controls, so check them first if your files hold personal data or IT requires central login.

Two controls are scarce and worth asking about early. Native redaction lets you black out names and account numbers inside the platform instead of preparing a second copy of every file; without it, redact before upload. Single sign-on matters when the buyer's IT team routes every outside tool through its own identity provider. Neither is a reason on its own to pick a weaker room overall, but both are easy to miss until a security questionnaire arrives. Each review lists the exact controls for that provider, and the review method explains how certifications feed the security score.

The billing model matters as much as the headline figure. A flat fee stays the same whether five or fifty advisers log in, which keeps a long sell-side process predictable. Per-user pricing looks cheapest for a founder sharing a deck with a handful of investors, then climbs quickly once lawyers, accountants and bankers each need a seat. Project quotes bundle data volume, users, term and service into one number; they can be good value on a large deal, but you only learn the figure after a scoping call, and extension months are where budgets slip.
